Terms of Service

These Terms of Service ("Terms") govern your access to and use of the 1PVN platform and related websites (the "Service"). 1PVN is operated by Brabble Trading Corporation ("Brabble", "we", "us"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

1PVN is a private-sector consultation management platform that helps organizations facilitate consultations, manage investment pipelines, coordinate project intake, and turn structured data into action. We may update, improve, or modify features over time.

2. Accounts & eligibility

• Access is provided to authorized staff and users of subscribing organizations.
• You are responsible for activity under your account and for keeping your sign-in credentials secure.
• You must provide accurate information and promptly update it as needed.

3. Acceptable use

You agree not to:

• Use the Service unlawfully or in violation of these Terms.
• Attempt to gain unauthorized access to the Service, other workspaces, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload malware or content you have no right to share.

4. Customer data & ownership

As between you and 1PVN, your organization retains all rights to the data it submits to the Service ("Customer Data"). You grant 1PVN the limited rights needed to host, process, and operate the Service on your behalf, as described in our Privacy Policy.

5. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by 1PVN and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

6. Third-party services

The Service integrates with third-party providers (for example, authentication, hosting, storage, email, and AI processing). Your use of those integrations may be subject to the third party's terms. Sign-in with Google is governed by Google's terms in addition to these Terms.

7. Availability & disclaimer

We work to keep the Service reliable but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, 1PVN will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the Service.

9. Termination

You or your organization may stop using the Service at any time. We may suspend or terminate access if these Terms are violated or where required to protect the Service or comply with law. On termination, provisions that by their nature should survive will survive.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The Service is operated by Brabble Trading Corporation, a corporation registered in Canada. You agree to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute arising out of or relating to these Terms, except where a separate customer agreement specifies otherwise.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, by additional notice. Continued use of the Service after changes take effect constitutes acceptance.
